Department Overview:
Sourcing & Vendor Management (SVM) sources external goods and services for COMPANY by applying best practices while mitigating key commercial, contractual and reputational risks to the Bank. 

As a valued partner, we strive to work collaboratively with internal business partners and key vendors to deliver increasingly high-quality and efficient sourcing services through: commercial-valued and risk-mitigated sourcing, analytical insights and market expertise, driving vendor innovation, and supporting select third-party agreements during the fulfilment phase.

• A role within the Sourcing & Vendor Management Department, to drive supply-side initiatives / projects related to IT Outsourcing (ITO) and IT consulting (ITC) as well as manage other key initiatives that arise in the wider ITO / ITC arenas
• Responsibility for overseeing and executing a portfolio of sourcing projects related to ITO / ITC, primarily supporting the Global Markets Technology and Corporate Technology groups, with a focus on Application Development, Testing, Maintenance, Application and Infrastructure Support services

To be successful, one must be able to:
• Gain support and acceptance by demonstrating sourcing value/process to respective initiatives at senior levels within SVM and the wider COMPANY organization (C-level independent interaction required)
• Review divisional requirements and recommend supplier strategy in collaboration with IT stakeholders with clear rationale for suggested strategy and associated plan
• Execute the end-to-end sourcing process including RFIs/RFPs/RFQs and assist in business case validation, commercial evaluations and negotiations
• Coordinate execution of successful ITO / ITC vendor contract negotiations
• Develop credibility and operate as a subject matter expert and internal consultant for ITO and become the first point of contact for the business stakeholders in respect of ITO vendors and related sourcing
• Build effective and cooperative alliances externally with key vendors and manage directly those vendor relationships from a commercial perspective
• Possess a solid understanding of IT lifecycle processes and how this impacts vendor services wrt to appropriate KPIs, SLAs, reporting requirements, governance structure, etc.
• Have a good understanding of output and outcome based commercial models and managed services delivery models

Our Global Markets General Counsel division is seeking a Negotiator/Advisor in the Investment Bank’s New York office.


To serve as counsel in a group of lawyers and associated professionals who support the Firm’s derivatives, repurchase transactions, and mortgage forwards businesses. The role involves (i) structuring, drafting and negotiating legal agreements; (ii) advising on legal, regulatory and reputational issues arising from initiation to termination of counterparty trading relationships; (iii) working with GC colleagues in other units in connection with transactions and regulatory issues, (iv) overseeing outside counsel (as applicable); and (v) coordinating with credit, compliance and other control groups.  It may involve assisting with legal opinion work.


The lawyer will have responsibilities as assigned in support of various businesses that transact derivatives and securities financing business with a broad range of counterparties with a focus on money managers and funds, including specifically:

Prepare, negotiate and execute ISDA Master Agreements (including the Credit Support Annex, tri-party control agreements, and other related documents, where applicable), SIFMA Master Repurchase Agreements (MRA), ICMA Global Master Repurchase Agreements (GMRA), SIFMA Master Securities Forward Agreements (MSFTA)(collectively, “Trading Agreements”) on behalf of COMPANY's entities.  This requires a full appreciation of the linkage and coordination of this function globally.

Define, communicate and coordinate the issues arising from matters assigned to the lawyer with the relevant business group, other departments and other counsel.

Advise Credit Risk Management, business and risk units, and other stakeholders throughout the Firm on credit, business, and operations related provisions of Trading Agreements, security agreements, tri-party control agreements, and other associated documents.

Manage the negotiation process to ensure timely execution of agreements in a controlled environment.

Supervise or coordinate with personnel who are responsible for performing the legal diligence necessary for clients to enter into transactions and others responsible for the agreement post-execution process.

Maintain current awareness and understanding of industry trends and developments across these businesses as they relate to the lawyer’s areas of responsibility.

Perform all other duties and projects as assigned by GC management.

Job Requirements:
